These Terms and Conditions apply to website design, development, copywriting, branding, hosting, maintenance and related services provided by ProWebDesigns (“we”, “us” or “our”) to the customer (“you” or “your”).

By accepting a proposal, approving a package, paying a deposit or asking us to begin work, you agree to these Terms and Conditions.
1. Our services
We provide the services described in your written proposal, package selection, invoice or other written agreement.
Services may include:
- Website design and development
- WordPress website setup
- Website copywriting
- Logo and basic brand design
- Search engine optimisation setup
- Google Business Profile assistance
- Hosting and domain assistance
- Website forms and booking features
- Product or service catalogue pages
- Website care and maintenance
The exact scope of work is based on the package and any additional services you select. Work outside that scope may require a separate quote.
2. Quotes and estimates
Any price shown on our website, package builder or marketing material is an estimate unless we clearly identify it as a fixed quote.
A project price becomes fixed only when confirmed in writing by us.
Estimates may change if:
- The scope changes
- Additional pages or functionality are requested
- Required information is not supplied
- Third-party costs change
- The project requires more work than originally described
- The website requires repair or redevelopment before work can begin
We will tell you about additional costs before carrying out additional chargeable work.
3. Deposits and payment
A 50% deposit is required before work begins unless we agree otherwise in writing.
The remaining balance is payable when the website is ready for launch, before the website is transferred, published or made available for ongoing use.
We may pause work if an invoice is overdue.
Unless otherwise stated:
- Prices include GST where applicable
- Third-party costs may be charged separately
- Domain renewals, hosting renewals, premium plugins, paid software, email services and other ongoing subscriptions are not included beyond the period stated in your package
- Payment processing or transaction fees may be passed on where disclosed
4. Starting the project
Work begins after:
- The deposit has been paid
- The required information and access details have been supplied
- The project scope has been confirmed
We may decline to begin or continue work where the requested content, design or functionality is unlawful, misleading, unsafe, abusive or unsuitable for the intended website.
5. Client information and responsibilities
You agree to provide accurate and lawful information needed for the project, including:
- Business details
- Services and product information
- Contact details
- Images, logos and other content
- Domain and hosting access where required
- Login details or administrator access where necessary
- Approvals and feedback within a reasonable timeframe
You are responsible for ensuring that information, images, logos, testimonials and other materials you provide can legally be used.
You must not provide content that infringes another person’s copyright, trademark, privacy or other rights.
6. Copywriting and images
Where copywriting is included, we will prepare website wording from the information you provide. You remain responsible for checking the accuracy of business details, services, prices, claims, licences, qualifications and legal statements before launch.
Images supplied by you must be owned by you or properly licensed for use.
Where stock images, AI-assisted images or third-party images are used, any relevant licence or usage restrictions will apply.
7. Design changes and approvals
Your package includes the number of revision rounds stated in the proposal or package description.
A revision round means one consolidated set of requested changes. Small corrections, such as correcting a typo or changing an incorrect phone number, do not normally count as a full revision round.
Additional revisions, redesigns, new pages or changes outside the agreed scope may be quoted separately.
You are responsible for reviewing and approving the website before launch. Once you approve the website, later changes may be chargeable.
8. Delays and project timeframes
We provide estimated timeframes, not guaranteed completion dates, unless a fixed deadline is agreed in writing.
Timeframes may be affected by:
- Delayed information or approvals
- Delayed payment
- Changes to the scope
- Third-party services
- Technical problems outside our control
- Client unavailability
- Delays in domain, hosting or email access
If a project is paused because information, feedback or approval has not been supplied for more than 30 days, we may treat the project as inactive. Restarting the project may require a revised timeframe and additional fee.
9. Launch and post-launch support
Before launch, we will reasonably test the agreed website features on commonly used devices and browsers.
The package includes 30 days of support after launch for agreed features that are not working as intended.
This support does not include:
- New pages
- New functionality
- New designs
- Changes requested after approval
- Problems caused by third-party updates
- Changes made by you or another provider
- Incorrect information supplied by you
- Hosting, domain or email problems outside our control
10. Website ownership and access
Once all project invoices have been paid, you own the website content and final design work created specifically for you, subject to:
- Third-party software licences
- WordPress licensing
- Stock image licences
- Premium plugins
- Fonts
- Hosting services
- Other third-party terms
Your domain, website and relevant login details remain yours.
We may retain ownership of reusable systems, code libraries, processes, templates, techniques and general know-how that were not created exclusively for your project.
We will not reuse your confidential business information for another customer.
11. Domain, hosting and email
Where included in your package, we may assist with domain registration, hosting, business email and SSL setup for the period stated in the package.
You remain responsible for renewal fees after the included period.
You are responsible for keeping payment details and registration information current. We are not responsible for a domain, hosting account or email service expiring because renewal information or payment was not provided.
Hosting availability, speed, security and uptime may be affected by the hosting provider or other third parties.
12. Third-party services
Websites may rely on third-party services such as:
- Hosting providers
- Domain registrars
- Email providers
- Payment gateways
- Google services
- Booking systems
- Plugins
- Fonts
- Analytics platforms
- AI services
- Social media platforms
Third-party services have their own terms, fees, privacy policies and technical limitations. We are not responsible for changes, outages, suspensions or failures caused by those providers.
13. SEO and performance
SEO services provide setup, structure, research and optimisation. We do not guarantee:
- A particular Google ranking
- A particular number of visitors
- A particular number of enquiries
- Inclusion in search results
- Approval by Google or another platform
Website performance can be affected by hosting, plugins, images, third-party scripts, internet connections and future changes to browsers or search engines.
14. Cancellation and suspension
You may ask to cancel a project at any time.
If you cancel after work has started:
- The deposit covers time already allocated, work completed and project preparation
- Any unpaid work completed up to the cancellation date remains payable
- Third-party costs already incurred are non-refundable
- Work may be supplied only after all outstanding amounts are paid
We may suspend or end the project if:
- Payment is overdue
- You repeatedly fail to provide required information or approval
- You request unlawful or misleading content
- You behave abusively towards us or our contractors
- Continuing the project would create an unreasonable technical or legal risk
These clauses do not limit any rights you have under Australian Consumer Law.
15. Care plans
Care plans are ongoing services billed at the frequency stated in your proposal.
A care plan may include the services described in your package, such as:
- WordPress and plugin updates
- Security monitoring
- Backups
- Small text changes
- Image replacements
- Minor content updates
New pages, redesigns, major layout changes, new functionality and substantial content work are quoted separately.
You may cancel a care plan at any time by giving 30 days’ notice, unless a different notice period is stated in writing.
The website remains yours after the care plan ends.
16. Privacy and contact forms
We collect and use personal information to respond to enquiries, provide services, manage projects, process payments and communicate with customers.
Our website may use cookies, analytics, contact forms and third-party services. Details are set out in our Privacy Policy.
Submitting an enquiry does not automatically subscribe you to marketing communications. We will only send promotional messages where permitted and where the required consent or other lawful basis applies.
You can unsubscribe from marketing communications at any time.
17. Portfolio and promotion
Unless you tell us otherwise in writing, we may identify your completed website as part of our portfolio after it has launched.
We will not publish confidential business information, private login details or unpublished material.
If you do not want your website displayed in our portfolio, tell us before the project begins.
18. Liability
To the extent permitted by law, we are not responsible for loss caused by:
- Information supplied incorrectly or late
- Changes made by you or another provider
- Third-party services
- Hosting, domain or email interruptions
- Search engine changes
- Security incidents outside our reasonable control
- Loss of business, revenue, profits or opportunity arising from website use or interruption
Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy that cannot legally be excluded under the Australian Consumer Law.
Where our liability can legally be limited, our liability will be limited to supplying the services again or paying the cost of having the services supplied again.
19. Indemnity
You agree to compensate us for reasonable loss, damage, claims or expenses arising from:
- Content or materials you supplied
- Your breach of these Terms
- Your unlawful use of the website
- Your infringement of another person’s rights
- Products, services, claims or information published on your website
This clause does not apply to the extent the loss was caused by our negligence, breach or unlawful conduct.
20. Changes to these Terms
We may update these Terms from time to time. The version that applies to your project is the version accepted when the project begins, unless we both agree otherwise in writing.
21. Governing law
These Terms are governed by the laws of Victoria, Australia.
The parties submit to the courts and tribunals of Victoria, subject to any rights available under Australian Consumer Law.
